THQ announced that the companies have signed a letter of intent, and the deal is under review. Under the deal, THQ will issue about 1 million shares of common stock to shareholders of privately held Rainbow Studios. Phoenix-based Rainbow Studios has produced games including Motocross Madness and ATV Offroad Fury.
