IRVINE, Calif. --Feb. 13, 2006 - Planetwide Games, Inc., an innovative provider of branded online video games and proprietary game application software, announced today the execution of a definitive merger agreement with SP Holding Corp. (OTCBB:SPHG.OB - News). The merger is expected to close on or before April 15, 2006.
In the merger, all outstanding Planetwide Games common shares will be exchanged for SP Holding common shares, and SP Holding will assume all of Planetwide's stock options, warrants and convertible securities. After the effective time of the merger, former Planetwide Games stockholders will own approximately 95% of the SP Holding, on a fully diluted basis. The two companies expect to change the name of SP Holding to Planetwide Games Corporation shortly after the closing.
The merger is expected to be tax-free to the stockholders of both companies, is subject to standard closing conditions, and Planetwide Games having a minimum of $5 million in cash at closing.
